Right to join the sale (tag-along)

The right to join the sale permits a shareholder (an entitled person, usually minor shareholder) to transfer their shares altogether with the transfer of the other shareholder’s shares (a person liable, usually majority shareholder), which corresponds with the liable person’s obligation to enable an entitled shareholder to perform the transaction under the same condition. The right to join the transaction protects primarily minor shareholders who have the opportunity to sell their share(s) under the same conditions as the majority shareholder.
