Down round

An investment round in which the price per share (valuation of a company) is lower than in the previous round. Down round occurs if the company does not thrive and needs to acquire additional sources to save itself. Previous investors are well protected against such situations by anti-dilution regulations. If a down round occurs, founders are the worst affected.
