Memorandum of Association (or Articles of Association) is a basic and founding document of each company involving more than one member. In the case of a limited liability company it is a Memorandum of Association (in Slovak: spoločenská zmluva, in Czech: společenská smlouva), in the case of a joint-stock company (including a simple company for shares) it is a Articles of Association (in Slovak: zakladateľská zmluva, in Czech: zakladatelská smlouva). If a company was founded by a single founder, the Memorandum of Association (or Articles of Association) is replaced by a Memorandum of Foundation (in Slovak: zakladateľská listina, in Czech: zakladatelská listina).
